Terms

Service Agreement for all Goods and services 

1. Agency. Client hires Business to pick up and deliver any products Client has pre- ordered prior to delivery. Client hereby specifically authorizes Business to act in the place of the Client in purchasing products on-farm directly from farmers, as directed by Client.

2. Compensation. Compensation for Business’s ordinary services shall be due prior to the time of each delivery. Business shall be responsible for all expenses incurred in picking up and delivering products ordered by Client.

3. Waiver of Liability. Raw Dairy Products: Client releases Business of any and all liability for any injury, illness, death, loss or damage caused in whole or in part by the handling or consumption of any product obtained by Business for Client, including but not limited to raw milk and raw milk products. Client understands that the Centers for Disease Control (CDC), the Food and Drug Administration (FDA), and the Texas Department of State Health Services recommend against the consumption of raw milk. Client further understands and acknowledges that raw milk has not been pasteurized and may contain harmful bacteria and that pregnant women, children, the elderly and persons with compromised immune systems have the highest risk of harm from use of raw milk.

4. Waiver of Liability. Yard Eggs: Client releases Business of any and all liability for any injury, illness, death, loss or damage caused in whole or in part by the handling or consumption of ungraded yard eggs. Client understands that upgraded yard eggs can contain harmful bacteria that can cause foodborne illnesses, such as Salmonella Enteritidis (SE). Client further understands and acknowledges that they must abide by the safe handling instructions and keep eggs refrigerated and stored at 45° or less, cook eggs until yolks are firm, and cook foods containing eggs thoroughly. 

5. Waiver of Liability. Cottage Food Products: Client releases Business of any and all liability for any injury, illness, death, loss or damage caused in whole or in part by the handling or consumption of cottage food products. Client understands that cottage food products are made in a home kitchen and are not inspected by the Department of State Health Services or a local health department. Client further understands that cottage foods provided by Business are prepared in a home kitchen that uses known major allergens, with the exception of gluten. 

6. Indemnity. Business certifies that Business has vehicle liability insurance, and Business agrees to take sole responsibility under the law for any injury or damage to person or property caused by the operation of a motor vehicle by Business while Business is fulfilling this agreement. Business agrees to indemnify Client against any damages assessed against Client caused by Business’s operation of a motor vehicle in fulfilling this agreement.

7. Arbitration. All disputes, claims and questions regarding the rights and obligations of the parties under the terms of this agreement are subject to arbitration. Either party may serve on the other a written demand for arbitration within one hundred eighty (180) days after the dispute first arises. The arbitration shall be conducted by three arbitrators (one appointed by Client, one by Business, and a third by the other two arbitrators) in accordance with the rules of commercial arbitration of the American Arbitration Association. Each party shall pay its own costs in connection with the arbitration, and costs of the arbitrators shall be paid in equal amounts by the parties.
